Terms of Use

These Terms of Use ("Terms") govern your access to and use of Verli, a service operated by Inkvi LLC ("Inkvi LLC", "we", "our", or "us"). By using Verli, you agree to these Terms. If you do not agree, do not use the Service.

1. Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service.

2. Acceptable use

You agree not to:

  • use the Service to record or transcribe audio without the consent of all parties where consent is required by applicable law;
  • use the Service for any unlawful, harassing, defamatory, or infringing purpose;
  • attempt to reverse engineer, decompile, or circumvent any security or usage limits; or
  • resell or redistribute the Service without our written permission.

You are solely responsible for complying with the recording, privacy, and other laws that apply to you and the people whose audio you process.

3. Subscriptions and purchases

Verli offers free usage limits and paid plans for additional minutes or features. Paid plans are billed through the Apple App Store or our web billing provider, as indicated at purchase. Subscriptions renew automatically until cancelled. You can manage or cancel a subscription through your Apple ID settings, the in-app billing page, or the billing provider tools made available for your purchase channel. Refund eligibility is governed by the applicable store rules, billing provider terms, and our Refund Policy, except where different rights are required by law.

4. Service availability

The Service is provided "as is" and "as available." We do not guarantee uninterrupted availability, accurate transcription, or accurate translation. Transcripts and translations are generated by automated systems and may contain errors.

5. Your content

You retain all rights in the audio and transcripts you create with Verli. You grant us a limited license to process that content solely to provide the Service to you, including streaming audio to our transcription partner and delivering transcripts to your share-session viewers.

6. Intellectual property

Verli and its related logos, software, and content are owned by Inkvi LLC or our licensors and are protected by intellectual-property laws. These Terms do not grant you any rights except as expressly stated.

7. Third-party services

The Service integrates with third parties, including Clerk, Soniox, RevenueCat, Apple, and payment providers. Your use of those third-party services is governed by their own terms, which we encourage you to review.

8. Termination

You may stop using the Service and delete your account at any time by following our account deletion process. We may suspend or terminate your access if you violate these Terms or if we need to protect the integrity, security, or operation of the Service.

9. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INKVI LLC, DBA VERLI, AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $50 IF YOU HAVE NOT PAID US ANYTHING.

11. Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after the updated Terms take effect means you accept the revised Terms.

12. Apple App Store EULA

If you downloaded Verli from the Apple App Store, you acknowledge that these Terms are between you and Inkvi LLC, not Apple, and that Apple is not responsible for the Service or its content. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. The Apple-licensed application is subject to Apple's Licensed Application End User License Agreement, available at apple.com/legal/internet-services/itunes/dev/stdeula.
